Form 941-X at a glance
| What it does | Corrects wages, tips, withholding and Social Security and Medicare on one previously filed Form 941 |
|---|---|
| One form per | Quarter being corrected |
| Underreported tax | Due by the 941 due date for the quarter in which you found the error, with payment, to stay interest-free |
| Overreported tax | Adjustment (credit on your next 941) or claim (refund), within the period of limitations |
| File with | IRS, e-file encouraged or by mail |
What Form 941-X is
Form 941-X corrects a Form 941. You do not file a second 941. For each line you change you show the corrected amount, the amount originally reported, the difference, and the tax correction.
You choose one of two processes. The adjustment process is for tax you underreported and are paying, or overreported tax you want credited on the 941 for the quarter you file. The claim process asks for a refund or abatement of overreported tax.
If you underreported tax and fix it by the due date of the 941 for the quarter in which you discovered the error, paying at the same time, the correction is generally interest-free and avoids failure-to-pay and failure-to-deposit penalties.
Who has to file
- Any employer that finds an error in wages, tips, federal income tax withheld, Social Security or Medicare tax on a Form 941 already filed.
- Not if the only errors are the employee count on line 1 or the deposit schedule in Part 2 or Schedule B; those follow the Schedule B instructions.
- Not for Form 944, 943 or 945: each has its own X form (944-X, 943-X, 945-X).
- If you correct overreported and underreported amounts at once, you may need two 941-Xs, one for each.
Due dates
| What | Due |
|---|---|
| Underreported tax found in January to March 2027 | Fri, Apr 30, 2027 |
| Underreported tax found in April to June 2027 | Mon, Aug 2, 2027 (Jul 31 is a Saturday) |
| Underreported tax found in July to September 2027 | Mon, Nov 1, 2027 (Oct 31 is a Sunday) |
| Underreported tax found in October to December 2027 | Mon, Jan 31, 2028 |
| Overreported tax, adjustment process | Soon after you find it, and more than 90 days before the period of limitations ends |
| Overreported tax, claim process | Before the period of limitations ends |
Period of limitations: generally 3 years from the date the 941 was filed (or 2 years from payment for overreported tax, if later). Forms 941 for a year count as filed on April 15 of the next year if filed earlier, so all four 2026 quarters are treated as filed on April 15, 2027.
Penalties for filing late or wrong
- Underreported tax corrected late, after the due date for the quarter of discovery: interest runs from the original due date, and failure-to-pay and failure-to-deposit penalties can apply.
- If the 941-X is filed late you must attach an amended Schedule B, or the IRS may assess an averaged failure-to-deposit penalty.
- In the last 90 days of the period of limitations you must use the claim process for overreported tax.
Form 941-X line by line
| Line | What goes there | Where it comes from |
|---|---|---|
| Top | The return being corrected (941 or 941-SS), the quarter and year, and the date you discovered the errors | Your records |
| 1 or 2 | Part 1: tick line 1 for the adjustment process or line 2 for the claim process, not both | Your choice |
| 3 to 5 | Part 2 certifications: that you filed or will file W-2c forms, and that employees were repaid or consented for overreported employee tax | What you did for the employees |
| 6 | Wages, tips and other compensation | Column 1 corrected, column 2 from 941 line 2, column 3 the difference |
| 7 | Federal income tax withheld | Prior years: only administrative errors can be fixed |
| 8 | Taxable Social Security wages; column 4 is column 3 × 0.124 | Use 0.062 if only the employer share is corrected |
| 11 | Taxable Social Security tips, × 0.124 | From tip records |
| 12 | Taxable Medicare wages and tips, × 0.029 | All Medicare wages |

| 23 | Subtotal of column 4 | Calculated |
| 27 | Total: the amount you owe or the credit or refund | Pay any amount owed when you file |
| 41 to 43 | Part 4: both underreported and overreported?, reclassified workers?, and a detailed explanation of each correction | Required; explain what went wrong and how you found it |
Lines 9, 10, 14, 16 to 22 and 24 to 40 cover the 2020 and 2021 COVID-era credits, the research payroll credit and other special items most small employers leave blank.
Common mistakes
- Filing a second Form 941 instead of a 941-X.
- Ticking both the adjustment and the claim boxes.
- Paying late: an underreported correction is interest-free only if filed and paid by the due date for the quarter you found it.
- Correcting the 941 but not the W-2s, so the year still does not reconcile.
- Leaving line 43 blank or vague. The IRS wants the reason for each change.
- Trying to recover federal income tax that was correctly withheld from employees but was too high. A refund claim cannot correct tax actually withheld.
How to file Form 941-X
- Pin down the error. Recalculate the quarter from the paychecks dated in it and compare line by line with the 941 you filed.
- Choose the process. Underreported tax: adjustment process, paid when you file. Overreported tax: adjustment for a credit on your current 941, or claim for a refund.
- Complete columns 1 to 4. For each changed line, enter the corrected amount, the original, the difference and the tax correction.
- Explain and certify. Complete Part 2 certifications and Part 4, including a clear explanation on line 43, and sign.
- File and pay. E-file or mail it to the IRS address for your state, pay any amount owed, and issue W-2c forms if the year's W-2s were affected.
How AcboBooks fills it in
AcboBooks 0.2.1 does not prepare Form 941-X. It does give you column 1: after you correct the paychecks, Payroll → Payroll Tax Forms → Form 941 for that quarter totals gross wages, federal withholding, Social Security and Medicare again from the non-voided paychecks.
Keep a copy of the 941 worksheet you filed; that is column 2.
What it leaves to you
- The 941 worksheet uses gross pay. If employees have pre-tax deductions, adjust the wage figures as you did on the original return. AcboBooks prepares the figures; it does not file returns or make deposits for you. You file through the IRS or SSA and pay through EFTPS or your IRS business tax account.

Questions
When is Form 941-X due?
For underreported tax, by the due date of the Form 941 for the quarter in which you discovered the error, for example by April 30, 2027 for an error found in March 2027. For overreported tax, any time within the period of limitations, but more than 90 days before it ends if you want the adjustment process.
Can I just fix the error on my next Form 941?
Only fractions of cents, third-party sick pay, tips and group-term life insurance adjustments for the current quarter go on Form 941 lines 7 to 9. Errors in an earlier quarter need Form 941-X.
Do I need one 941-X for each quarter?
Yes. Each Form 941-X corrects one quarter.
Is the correction interest-free?
For underreported tax, generally yes if you file the 941-X and pay by the due date of the return for the quarter you discovered the error. Later than that, interest and penalties can apply from the original due date.
How far back can I correct a 941?
Generally 3 years from when it was filed, with returns for a year treated as filed on April 15 of the next year. For overreported tax, it can also be 2 years from when you paid, if that is later.
