Partner Agreement

The rules of the AcboBooks partner program, in plain words: what you get, what you earn, when you are paid, and what we ask of you.

Version 1.0 · Effective October 19, 2026.

1. Who this agreement is between

This agreement is between AcboBooks LLC, a Wyoming limited liability company ("AcboBooks", "we", "us"), and the bookkeeper, accountant or firm that applies to the partner program ("you", the "partner"). You accept it when you apply; it takes effect when we approve your application. The licence agreement also applies to the software you use.

2. Joining the program

  • The program is open to professionals who keep books for small businesses in the United States or Canada. We review every application and may approve or decline it at our discretion.
  • The details you give us must be true and kept up to date, including how we pay you.
  • There is no fee, minimum or quota, and the program is not exclusive: you may recommend other software too.

3. Your practice licence

  • Once approved, you receive one AcboBooks Pro licence at no charge: 2 computers and 12 months of updates and email support. It is for your own practice's books and for working with your clients' files; it may not be resold or transferred.
  • We renew its updates for another 12 months each year while at least one client has bought with your code in the previous 12 months.
  • If the program or this agreement ends, the licence keeps working on the version you have, like any AcboBooks licence; only new updates stop.

4. Your partner code and referral link

  • We give you a unique partner code (for example SMITHBOOKS) and a referral link (acbobooks.com/checkout/?ref=YOURCODE). A visit through your link is remembered in that browser for 60 days, and clients can always type your code at checkout.
  • An order is your referral only if your code is on it when the client places it. We cannot add a code to an order afterwards.
  • You cannot use your own code, and orders for businesses you own or control earn no commission.

5. Your clients' discount

An order placed with your code gets 10% off its licences and additional computers. The discount cannot be combined with other offers. We may refuse or cancel an order that misuses a code.

6. Your commission

  • You earn 20% of the amount your client actually pays for licences and additional computers on an order placed with your code: after the 10% discount, and not counting sales tax, GST/HST or similar taxes. Other products earn commission only if we tell you so in writing.
  • Commission is earned when we receive the client's payment. We email you each time a referred order is paid, with the order number, the client's business name and your commission.
  • Amounts are in US dollars and rounded to the nearest cent.

7. Payouts

  • We pay monthly, by the 15th, for commission on orders paid in the previous month, by Wise or PayPal to the account you give us, with a statement listing the orders.
  • We pay once you are owed at least $50. Smaller balances carry forward to the next month.
  • We pay our own sending fees; any fees your bank, Wise or PayPal charges you to receive or convert the money are yours.
  • We may hold a payout while we check an order we reasonably believe is fraudulent or breaks this agreement, and tell you why.

8. Refunds and chargebacks

A refunded or charged-back order earns no commission. If we already paid commission on it, that amount is taken off your next payouts, so your balance can be negative for a while. If this agreement ends with a negative balance, we write it off, unless the refunds or chargebacks came from a breach of this agreement.

9. Telling clients you earn a commission

Whenever you recommend AcboBooks, you must tell people clearly, before they buy, that you earn a commission if they buy with your code or link. This is required by this agreement and, in the United States, by the Federal Trade Commission's rules on endorsements (and by consumer protection law in Canada). Put the disclosure next to the recommendation, in words people will notice, for example:

"I recommend AcboBooks to clients leaving QuickBooks Desktop. I earn a commission if you buy it with my code, and you get 10% off."

A disclosure hidden in a footer, behind a link, or only in a terms page is not enough.

10. How you promote AcboBooks

  • Be accurate. Do not promise features, prices or results that are not on acbobooks.com, and do not give tax or legal assurances on our behalf.
  • Do not send unsolicited commercial email or messages; follow CAN-SPAM in the United States and CASL in Canada.
  • Do not bid on "AcboBooks" or misspellings of it in paid search ads, and do not post your code on coupon or deal sites.
  • Do not present yourself as AcboBooks or as our employee. You may use our name and the logos we provide to describe your partnership, and nothing else of ours.

11. Taxes and tax forms

  • You are an independent business and responsible for your own taxes on what we pay you. Commission amounts include any sales tax (such as GST/HST or QST) you may need to account for.
  • United States partners must give us a completed Form W-9 before their first payout. When we pay you $2,000 or more in a calendar year (the Form 1099-NEC threshold from tax year 2026), we issue a Form 1099-NEC where the law requires it.
  • Canadian partners do not need US tax forms. We may ask for your business details for our own records.

12. The partner directory

If you choose to be listed, we show your name, firm, city, state or province, website and the short description you give us on the partner directory. You confirm it is accurate and yours to publish. We may edit it for length or remove it. A listing is not an endorsement of your services, and you are responsible for the services you provide to clients.

13. Privacy

We share with you only what you need to follow your referrals: order numbers, dates, amounts and the client's business name. We never give you a client's licence key or payment details. Client information you hold yourself is yours to protect under the privacy laws that apply to you. Our privacy policy explains how we handle your details.

14. Our relationship

You are an independent contractor. Nothing in this agreement makes you our employee, agent, franchisee or joint venturer, and you cannot sign anything or make promises on our behalf.

15. Ending the agreement

  • Either of us may end this agreement at any time by email. We may suspend your code at once if we reasonably believe you have broken this agreement.
  • When it ends, your code stops working at checkout. We pay the commission you earned on orders paid before the end date, less refunds, with the next payout, even if it is under $50, unless the agreement ended because of fraud or a serious breach by you.
  • Sections 8, 11, 13, 14, 17 and 18 continue after the agreement ends.

16. Changes to these terms

We may change this agreement, including the discount and commission rates, by emailing you at least 30 days before the change takes effect. A change never reduces the commission on orders paid before it takes effect. If you do not agree to a change, you may end the agreement before it takes effect.

17. Liability

To the extent the law allows, our total liability to you under this agreement is limited to the commission we paid you in the 12 months before the claim, and neither of us is liable to the other for indirect or consequential losses, such as lost profits or lost clients. Nothing here limits liability that cannot be limited by law.

18. Law and disputes

This agreement is governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Any dispute that we cannot settle by talking it through will be decided by the state or federal courts located in Wyoming, and both of us agree to their jurisdiction. This agreement, with the licence agreement, is the whole agreement between us about the partner program.
